Installations Terms & Conditions
- Definition
- ‘Customer’ means any person from whom Fabtronic receives an order for the supply of Products or who is named as a customer on any order form or invoice or order transmission relating to the Products.
- ‘Products’ means those goods or services including but not limited to audio visual equipment, conferencing hardware and software items, and any of them as applicable, the subject of any order received by Fabtronic from the Customer and any other products sold by Fabtronic to the Customer hereunder.
- Order Acceptance
All orders received by Fabtronic for Products shall constitute an ‘offer to purchase’ by the Customer and are subject to these terms and conditions and subject to availability of the Products. Any such orders must be expressly accepted by Fabtronic’s authorised representative. All orders are accepted and Products supplied subject to these express terms and conditions only. It is agreed that these terms and conditions prevail over the Customer’s terms and conditions of purchase.
- Delivery
Any time quoted for delivery is to be treated as an estimate only. Fabtronic shall not be liable for late delivery howsoever caused. All risk in relation to the Products shall pass to the Customer at the time the Products are delivered to the delivery address nominated by the Customer. If Products have not been received, the Customer must notify Fabtronic within 7 days of the date of the invoice.
- Cancellations, Rescheduling and Delays
4.1 General Indemnity: Requests to cancel or reschedule will only be considered if the Customer agrees to indemnify Fabtronic against all loss, costs (including labour and materials used and overheads incurred), damages, and expenses arising out of the change.
4.2 Schedule Interruptions: Installation costs assume a continuous workflow. Delays caused by site unreadiness or third-party contractors will be charged at standard rates in half-day increments (commencing after 30 minutes of delay).
4.3 Restarting Work: If a site is not ready, Fabtronic does not guarantee an immediate return; rescheduling may take several weeks and is subject to availability.
- Pricing
Catalogues and price lists are intended only as an indication of price and are not binding. All prices are valid for 30 days from the date of the order. All prices are exclusive of VAT and delivery charges, which are payable by the Customer.
- Payment Terms
6.1 Schedule: 50% of the project value is payable on receipt of order (prior to despatch); 50% is payable on the date of installation, due 30 days from the date of invoice.
6.2 Enforcement: Payment must be made in full without deduction or set off. Outstanding accounts referred to debt collection agents will incur a surcharge of 15% of the debt plus VAT. Fabtronic reserves the right to cease supplies or withdraw credit facilities at any time.
- Retention of Title & Repossession
7.1 Title: Property of the Products shall not pass to the Customer until Fabtronic has received cleared funds for the Products and all other Products previously supplied.
7.2 Repossession: Until title passes, Fabtronic shall be entitled to require the Products to be delivered back to Fabtronic. If the Customer fails to do so, Fabtronic or its agents are authorised to enter any premises where the Products are stored to repossess them.
- Specification of Products
Fabtronic will not be liable for loss or damage resulting from variations in manufacturer specifications. Fabtronic reserves the right to increase prices or charge accordingly for Products of non-standard specifications.
- Returns
Returns are at Fabtronic’s sole discretion and must be requested within 30 days of invoice. Products must be properly packed, in saleable condition, and accompanied by original documentation. Fabtronic reserves the right to levy an administration charge or a “restocking” fee to bring items back to saleable condition.
- Warranties and Liability
10.1 Product Warranty: Defective Products are repaired or replaced strictly in accordance with the manufacturer’s warranty. Fabtronic is not responsible for the cost of labour or other expenses incurred in repairing manufacturer defects.
10.2 Existing Equipment: Fabtronic accepts no responsibility for the condition, functionality, or compatibility of Customer-owned equipment or existing infrastructure.
10.3 Limitation of Liability: Fabtronic will indemnify the Customer for direct physical injury or death caused solely by its negligence. However, Fabtronic excludes all liability for special, indirect, or consequential loss, including but not limited to loss of profits or loss of data.
- Installation and Site Readiness
11.1 Access & Condition: Fabtronic requires unrestricted access to all areas. Sites must be clean, dry, dust-free, and clear of obstacles.
11.2 Client Responsibilities:
- Power: A 240V 13A fused and switched socket must be provided at the exact equipment location.
- Cableways: Unless dedicated cableways are provided, cables will be installed in surface trunking.
- Third-Party Work: All preparatory work by the Customer or their contractors must be finished per the agreed schedule.
- Security: The Customer is responsible for changing default usernames/passwords on all network-accessible hardware.
- Noise: The Customer is responsible for notifying neighbors regarding potential noise disruption.
- Insolvency of Customer
If the Customer faces insolvency, bankruptcy, or receivership, the full price of all Products delivered shall become immediately payable. Fabtronic may cancel or suspend further despatches and exercise its right to repossess Goods as detailed in Clause 7.
- General Provisions
13.1 Force Majeure: Neither party shall be liable for any delay or failure to perform (other than payment) resulting from acts of God, fire, strikes, or causes beyond their reasonable control.
13.2 Entire Agreement: This document supersedes all previous agreements. No waiver of any breach shall be considered a waiver of any subsequent breach.
13.3 Governing Law: These terms shall be governed by English Law and are subject to the exclusive jurisdiction of the English Courts.
